CueBuddy Terms of Service

1. Agreement
By accessing or using CueBuddy ("Service"), operated by OptimalSEM LLC ("we," "us," "our"), you agree to these Terms of Service. If you do not agree, do not use the Service.
Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference.
2. Description of Service
CueBuddy is an AI-powered rehearsal tool that allows actors to practice scripts with a real-time AI scene partner. The Service includes script upload, AI-driven rehearsal sessions, and related features.
3. Account and Eligibility
You must be at least 13 years old to use CueBuddy. If you are under the age of 18, you may use the Service only with the involvement of a parent or legal guardian. You are responsible for maintaining the security of your account credentials. You agree to provide accurate information during registration.
4. Subscription and Billing
CueBuddy is offered as a monthly subscription billed through Stripe. Founding member pricing is offered at a promotional rate and may differ from future public pricing. We reserve the right to modify pricing for new subscribers with 30 days notice. Existing subscribers will be notified of any changes at least 60 days in advance. All fees are in US dollars. The Company is not obligated to provide ongoing access beyond paid subscription periods.
5. Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting us at support@cuebuddy.ai. Cancellation takes effect at the end of your current billing period. Refunds are handled on a case-by-case basis. Contact support@cuebuddy.ai for refund requests.
6. Your Content
You retain full ownership of all scripts and materials you upload to CueBuddy ("Your Content"). We treat Your Content as private and will not share it with third parties except as necessary to operate the Service. You grant us a limited, non-exclusive license to use Your Content solely to provide, maintain, and improve the Service.
We will not use Your Content to train or fine-tune AI models. We may use Your Content to operate, maintain, and improve the Service, including troubleshooting issues and enhancing system performance.
We are not responsible for loss of Your Content. You are responsible for maintaining your own backups.
7. Acceptable Use
You agree not to upload content that infringes on third-party intellectual property rights without authorization, attempt to reverse-engineer, decompile, or exploit the Service, use the Service for any unlawful purpose, or share your account credentials with others.
8. Copyright Policy (DMCA)
If you believe that content on CueBuddy infringes your copyright, you may submit a notice to support@cuebuddy.ai with sufficient detail. We will respond in accordance with applicable law, including the Digital Millennium Copyright Act.
9. Intellectual Property
CueBuddy, its technology, branding, and all related intellectual property are owned by OptimalSEM LLC. Your use of the Service does not grant you any ownership rights in our technology.
10. Disclaimer and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not guarantee that the Service will be available at all times or free from interruptions.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPTIMALSEM LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Beta Services
CueBuddy is currently in beta. Beta features may be incomplete, unstable, or discontinued at any time. We appreciate your feedback as we continue to improve the Service.
12. Dispute Resolution
Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in the State of New Jersey, except for claims that may be brought in small claims court. You agree to waive any right to participate in a class action lawsuit.
13. Modifications
We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.
14. Termination
We may suspend or terminate your account at our sole discretion if we believe you have violated these Terms. You may terminate your account at any time by canceling your subscription and contacting us.
15. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles.
