Terms of Service

1. Agreement

These Terms of Service ("Terms") are an agreement between you and OptimalSEM LLC, doing business as CueBuddy ("CueBuddy," "we," "us," or "our").

By creating an account, accessing, purchasing, or using CueBuddy, you agree to these Terms. If you do not agree, do not use the Service.

Our Privacy Policy explains how we handle personal information.

2. Eligibility

To create and manage a CueBuddy account independently, you must be at least 18 years old and legally capable of entering into a binding agreement. CueBuddy may be used by children under 13 only through a parent-managed account or an approved school or educational program, after CueBuddy receives the parental or school authorization required by applicable law. Children under 13 may not create CueBuddy accounts independently. Users between 13 and 17 must have authorization from a parent, legal guardian, or approved educational institution. A parent, guardian, or authorized educational representative who approves a minor’s use agrees to these Terms on the minor’s behalf and is responsible for supervising that use.

3. The Service

CueBuddy is a rehearsal tool for actors. Depending on the selected plan, CueBuddy may allow users to:

• Upload and save scripts

• Identify characters and organize scenes for rehearsal

• Select a role and scene-partner voice

• Rehearse scenes by voice

• Navigate a rehearsal using spoken commands

• Receive line reminders

• Use a premium expressive scene-partner voice

• Add typed Director's Notes

• Give spoken Director's Notes during rehearsal

• Guide overall or upcoming line-specific performance choices

CueBuddy supplements independent rehearsal when human collaborators are unavailable. It does not replace human scene partners, directors, acting coaches, teachers, casting professionals, or your own artistic judgment.

We may update, add, remove, suspend, or discontinue features. Plan descriptions and prices displayed at purchase identify the features included at that time.

4. Accounts

You are responsible for protecting your login credentials, activity under your account, any minor whose use you authorize or manage, and notifying us promptly of suspected unauthorized access.

You may not sell, transfer, or make your account available to an unauthorized person. A parent, legal guardian, or authorized educational institution may manage an account and supervise its use by an authorized minor.

5. Three Free CueBuddy Rehearsal Sessions

New eligible users may receive three free CueBuddy Rehearsal sessions. This offer applies only to CueBuddy Rehearsal and does not include CueBuddy Studio, premium expressive voices, or Director’s Notes.

No payment card is required for these free sessions. Using the free sessions does not automatically enroll you in a paid plan and does not authorize CueBuddy to charge you.

After the third free session, free access ends. You must separately select and purchase a paid plan to continue using paid features.

We may limit free access to one offer per person, household, payment method, or account and may prevent abuse of the offer.

6. Plans and Pricing

CueBuddy Rehearsal

CueBuddy Rehearsal is currently $14.99 per month, plus applicable taxes.

It includes CueBuddy's core rehearsal experience, Smart Script Upload, and supported script-navigation and line-help commands. It does not include Studio's premium expressive voice or Director's Notes unless expressly stated otherwise.

CueBuddy Studio

CueBuddy Studio is an experimental paid early-access plan currently offered at $25 per month, plus applicable taxes.

Studio includes CueBuddy Rehearsal features, a premium expressive scene-partner voice, and supported spoken and typed Director's Notes.

A Studio early-access subscriber keeps the $25 monthly subscription rate while the subscription remains continuously active. If the Studio subscription is canceled, expires, or otherwise lapses, any later subscription will be offered at the then-current price.

The planned Studio public-launch price for new subscribers is $30 per month. The price and terms displayed at checkout govern each new purchase.

Other price changes

We may change prices for new subscriptions at any time before purchase.

We may change the price of an existing Rehearsal subscription or another plan after providing advance notice required by applicable law. A price change will apply to a future renewal, not a completed billing period.

The continuously subscribed $25 Studio early-access rate will not be increased except with your affirmative agreement or where a change is required by law or tax treatment.

7. Automatic Monthly Renewal and Payment Authorization

Paid subscriptions begin when payment is confirmed.

Each paid subscription automatically renews every month until canceled. You authorize CueBuddy and its payment processor to charge the subscription price and applicable taxes at the time of initial purchase and on each monthly renewal date until cancellation.

The checkout page will display the selected plan, amount due, billing frequency, automatic-renewal terms, and cancellation information before purchase.

You are responsible for maintaining a valid payment method. If payment fails, we may retry the charge, limit access, suspend the subscription, or terminate paid access.

8. Cancellation

You may cancel a subscription using any billing-management or cancellation option made available through your CueBuddy account. You may also request cancellation by emailing support@cuebuddy.ai.

Cancellation prevents future renewal charges. Unless otherwise stated at purchase or required by law, cancellation takes effect at the end of the current paid billing period, and paid access continues until then.

We will provide confirmation of cancellation. You remain responsible for charges incurred before the cancellation becomes effective.

9. Refunds

Except where required by law or expressly stated at checkout, subscription payments are nonrefundable, and CueBuddy does not provide refunds or credits for partial billing periods, unused sessions, or dissatisfaction with an experimental result.

We may issue a refund or credit at our discretion. A discretionary refund does not create an obligation to provide future refunds.

Nothing in these Terms limits non-waivable refund or consumer rights.

10. Account Deletion Is Separate From Cancellation

Canceling a subscription does not automatically delete your account, scripts, or account data.

Deleting an account and canceling recurring billing are separate actions. If you request deletion of an account with an active subscription, CueBuddy will cancel the subscription before completing account deletion so you are not billed for an inaccessible deleted account.

Account-deletion requests may be sent to support@cuebuddy.ai. Personal information is handled as described in the Privacy Policy.

11. Automated Rehearsal and Experimental Features

CueBuddy uses automated and AI-based systems in both CueBuddy Rehearsal and CueBuddy Studio. Across all plans, CueBuddy may:

• Mishear spoken words or commands

• Incorrectly identify your position in the script

• Skip, repeat, or select the wrong line

• Provide an incorrect or incomplete line reminder

• Misidentify whether you are speaking dialogue or giving a command

• Respond more slowly or quickly than expected

• Generate inaccurate, incomplete, or unexpected audio

• Experience interruptions, errors, or temporary unavailability

CueBuddy Studio, premium expressive voices, Director’s Notes, and other features labeled “experimental,” “beta,” or “early access” may also:

• Interpret a Director’s Note differently than intended

• Simplify, omit, or fail to apply a direction

• Apply a direction to the wrong line

• Produce inconsistent accents, timing, emotion, tone, pace, pauses, intention, or line delivery

• Fail to preserve a direction across a restart or future session

Results may vary between sessions. CueBuddy does not guarantee perfect script navigation, a particular performance, accent, timing, emotional result, rehearsal outcome, audition result, booking, or professional outcome.

You are responsible for evaluating each result, verifying lines against the original script, and repeating or rephrasing a command or direction when necessary.

12. Your Content

"Your Content" includes scripts, excerpts, scene information, typed or spoken Director's Notes, rehearsal input, feedback, and other materials you submit through CueBuddy.

As between you and CueBuddy, you retain any rights you hold in Your Content.

You represent and warrant that:

• You own, control, or otherwise have sufficient permission to upload and process Your Content through CueBuddy

• Your use of Your Content through CueBuddy does not violate copyright, confidentiality, nondisclosure, privacy, publicity, contractual, or other third-party rights

• You will not upload content where processing by CueBuddy or its service providers is prohibited

Do not upload confidential audition sides, unreleased scripts, or restricted materials if doing so would violate an agreement or instruction from the rights holder.

You grant CueBuddy a limited, non-exclusive, worldwide license to host, store, reproduce, format, transmit, and process Your Content solely as necessary to:

• Provide the Service

• Conduct rehearsals

• Generate scene-partner responses

• Secure and maintain the Service

• Provide requested support

• Troubleshoot errors

• Comply with law

This license permits processing by contracted service providers acting for CueBuddy. It does not authorize CueBuddy to sell Your Content, use it for advertising, or use it to train or fine-tune general-purpose generative models operated by CueBuddy.

The license ends when Your Content is deleted, except for limited backup retention, legal obligations, security records, and information that has been lawfully deidentified.

You should maintain your own backup. CueBuddy is not a permanent script-storage service and is not responsible for loss of Your Content except to the extent liability cannot lawfully be excluded.

13. Acceptable Use

You may not:

• Use CueBuddy for unlawful, fraudulent, abusive, harassing, or harmful conduct

• Upload content without sufficient rights or permission

• Violate copyright, confidentiality, privacy, publicity, or contractual rights

• Attempt to obtain another person's scripts, recordings, account information, or confidential materials

• Share account credentials with an unauthorized person

• Circumvent plan limits, payment controls, access restrictions, or security measures

• Probe, scan, disrupt, overload, scrape, reverse engineer, decompile, or exploit the Service, except where applicable law expressly permits

• Use automated systems to access the Service without written permission

• Introduce malware or harmful code

• Use CueBuddy to impersonate another person or create deceptive recordings

• Use generated voices for voice cloning, identity verification, biometric identification, fraud, or misrepresentation

• Resell or commercially provide access to CueBuddy without written authorization

• Use the Service in a way that interferes with others or creates unreasonable technical cost or risk

We may investigate violations and suspend or terminate access.

You may not use CueBuddy, its generated voices, or any Service output to make or facilitate fraudulent, deceptive, misleading, harassing, or unlawful telephone calls, robocalls, voicemails, messages, phishing attempts, social-engineering schemes, impersonation, identity theft, or requests for money, credentials, personal information, or account access.

You may not represent a generated voice as the voice of a real person, use it to obtain consent or authorization, bypass voice authentication, or mislead anyone about the identity or source of a communication.

If you use any Service output in a call, message, recording, or public distribution, you are solely responsible for obtaining all required permissions and complying with applicable communications, privacy, recording, telemarketing, anti-impersonation, and fraud laws.

CueBuddy may investigate suspected abuse, preserve relevant records, restrict or terminate access, and cooperate with lawful requests from payment providers, platforms, regulators, or law enforcement. CueBuddy may report suspected fraud or unlawful conduct when permitted or required by law.

14. Copyright Complaints

If you believe material stored or processed through CueBuddy infringes your copyright, send a written notice to support@cuebuddy.ai containing:

• Identification of the copyrighted work

• Identification of the allegedly infringing material

• Information reasonably sufficient to locate the material

• Your name, mailing address, telephone number, and email address

• A statement that you have a good-faith belief the use is not authorized

• A statement, under penalty of perjury, that the notice is accurate and you are authorized to act for the rights holder

• Your physical or electronic signature

We may remove or restrict material, contact the affected user, and terminate repeat infringers where appropriate.

This section does not represent that CueBuddy qualifies for a statutory safe harbor. If CueBuddy seeks protection under Section 512 of the Digital Millennium Copyright Act, it must separately register and publish a designated copyright agent and maintain the required procedures.

15. CueBuddy Intellectual Property

The Service, software, interface, design, branding, documentation, and technology are owned by OptimalSEM LLC or its licensors and are protected by intellectual-property law.

Subject to these Terms, CueBuddy grants you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for your own rehearsal purposes.

No ownership right in CueBuddy is transferred to you.

16. Feedback

If you submit ideas, suggestions, or feedback, you grant CueBuddy permission to use that feedback without restriction or payment to improve or develop the Service.

We will not publicly identify you as the source of feedback without permission.

17. Third-Party Services

CueBuddy relies on third-party services for functions such as hosting, authentication, real-time communication, speech and text processing, generated voice, payments, analytics, email, security, and support.

CueBuddy is not responsible for third-party services outside its control. Their availability or behavior may affect the Service.

Our Privacy Policy describes how service providers may process personal information.

18. Suspension and Termination

You may stop using CueBuddy at any time.

We may suspend, limit, or terminate access if you violate these Terms; payment is overdue or fails; use creates security, legal, fraud, abuse, or technical risk; we are required to act by law; or we discontinue the Service.

Where reasonable, we will provide notice and an opportunity to address the issue. We may act immediately where necessary to protect users, rights holders, the Service, or others.

Sections that by their nature should survive termination will survive, including payment obligations, intellectual-property provisions, disclaimers, liability limitations, and dispute provisions.

19. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUEBUDDY IS PROVIDED "AS IS" AND "AS AVAILABLE."

CUEBUDDY DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT:

• THE SERVICE WILL ALWAYS BE AVAILABLE, SECURE, UNINTERRUPTED, OR ERROR-FREE

• SCRIPTS, TRANSCRIPTS, COMMANDS, OR GENERATED AUDIO WILL BE ACCURATE

• DIRECTOR'S NOTES WILL BE UNDERSTOOD OR APPLIED AS INTENDED

• A VOICE WILL SOUND HUMAN, NATURAL, CONSISTENT, OR SUITABLE FOR A PARTICULAR ROLE

• THE SERVICE WILL PRODUCE ANY PARTICULAR ARTISTIC, EDUCATIONAL, AUDITION, EMPLOYMENT, OR PROFESSIONAL RESULT

• STORED CONTENT WILL NEVER BE LOST

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, exclusions apply only to the extent permitted by law.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPTIMALSEM LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITIES, LOST DATA, LOSS OF GOODWILL, OR SUBSTITUTE SERVICES, ARISING FROM OR RELATING TO CUEBUDDY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF OPTIMALSEM LLC FOR ALL CLAIMS ARISING FROM OR RELATING TO CUEBUDDY WILL NOT EXCEED THE GREATER OF:

• $100; OR

• THE AMOUNT YOU PAID TO CUEBUDDY DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM

These limitations do not apply where liability cannot lawfully be limited, including rights that cannot be waived under applicable consumer law.

21. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless OptimalSEM LLC and its officers, members, employees, and contractors from third-party claims, damages, liabilities, costs, and reasonable legal fees arising from Your Content, your violation of these Terms, your infringement or violation of another person's rights, or your unlawful or unauthorized use of the Service.

This section does not require a consumer to indemnify CueBuddy for CueBuddy's own negligence, misconduct, or violation of law.

22. Changes to the Service or These Terms

We may update the Service and these Terms.

If a Terms change is material, we will provide reasonable notice by email, through the Service, or by another appropriate method before the change takes effect.

The updated Terms will state a new "Last updated" date. Your continued use after the effective date constitutes acceptance where permitted by law. If you do not agree, you must stop using the Service and cancel any subscription before the next renewal.

Subscription price changes are governed by Section 6 and applicable law.

23. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules, except where the law of your place of residence provides mandatory protections that cannot be waived.

Any court proceeding arising from these Terms or the Service may be brought in the state or federal courts located in New York County, New York, unless applicable law gives you a non-waivable right to bring the matter elsewhere.

Before filing a claim, you and CueBuddy agree to attempt in good faith to resolve the dispute by written notice and informal discussion for at least 30 days, unless immediate relief is reasonably necessary or law prevents that requirement.

Nothing in these Terms prevents either party from bringing an eligible claim in small claims court or seeking emergency injunctive relief.

These Terms do not contain a mandatory arbitration agreement or class-action waiver.

24. General Terms

If a provision is found unenforceable, it will be limited or removed only to the extent necessary, and the remaining Terms will continue.

Failure to enforce a provision is not a waiver.

You may not assign these Terms without our written consent. We may assign them in connection with a merger, financing, reorganization, sale of assets, or transfer of the Service.

These Terms, the plan and billing terms shown at checkout, and any policies expressly referenced constitute the agreement regarding the Service. If checkout terms conflict with general pricing language in these Terms, the more specific terms displayed and accepted at checkout govern that purchase, subject to applicable law.
